This AilaFlow Fair-Code License 1.0 (the “License”) governs the use of AilaFlow and any source code, executable code, documentation, and other materials distributed with a notice referring to this License (collectively, the “Software”).
By using, copying, modifying, or otherwise exercising rights in the Software, you agree to this License.
N4NO.com is referred to in this License as the “Licensor”.
1. Definitions
1.1 Licensee
“Licensee” means the individual or legal entity exercising rights under this License.
1.2 Authorized User
“Authorized User” means a natural person who is authorized to access or use the Software on behalf of the Licensee.
The same natural person counts as one Authorized User regardless of the number of devices, workspaces, environments, or Software installations that person uses.
Automated systems, service accounts, integrations, scripts, and AI agents are not Authorized Users unless otherwise specified in an applicable Subscription or separate agreement with the Licensor.
A contractor, consultant, or other external person who is authorized to access or use the Software on behalf of the Licensee is an Authorized User.
A third party who only interacts with outputs, public forms, APIs, or business processes exposed by the Licensee, without being authorized to access or operate the Software itself, is not an Authorized User.
An Authorized User entitlement may be reassigned to another natural person after the previous person’s authorization to access or use the Software has ended.
1.3 Affiliate
“Affiliate” means an entity that directly or indirectly controls, is controlled by, or is under common control with another entity.
For purposes of Starter Use, Authorized Users of the Licensee and its Affiliates are counted together.
1.4 Subscription
“Subscription” means an active paid commercial subscription issued or accepted by the Licensor.
A Subscription may specify the permitted number of Authorized Users, covered entities, billing period, fees, and other commercial terms.

The terms applicable to a particular Subscription may also be stated on the checkout page, invoice, order form, or another commercial agreement applicable to that Subscription.
2. Home Use
The Software may be used free of charge for Home Use.
“Home Use” means:
a. use by an individual solely for personal, private, hobby, experimental, or other non-commercial purposes;
b. use by a school, university, or other educational institution for educational, research, or internal administrative purposes; or
c. use by a foundation, charity, or other non-profit organization for its internal or statutory non-profit purposes.
Home Use does not include use primarily for the commercial benefit of a for-profit third party.
Home Use does not permit resale, sublicensing, white-labeling, providing the Software as a hosted or managed service to third parties, or otherwise commercially distributing access to the Software.
Home Use does not require a license key.
3. Starter Use
The Software may be used free of charge for Starter Use.
“Starter Use” means Commercial Use or Public Sector Use by a Licensee and its Affiliates with no more than three (3) Authorized Users in total.
“Commercial Use” means any use of the Software in connection with a business, trade, profession, paid employment, sole proprietorship, consulting activity, client work, revenue-generating activity, or the internal operations of a commercial organization, except where such use expressly qualifies as Home Use under Section 2.
“Public Sector Use” means use by government bodies, public authorities, public institutions, and other public-sector organizations, except where the use expressly qualifies as Home Use under Section 2.
Starter Use does not require a license key.
If the number of Authorized Users exceeds three (3), the Licensee must obtain an applicable Business Subscription unless another written agreement with the Licensor applies.
The Licensee is responsible for selecting and maintaining the license type that correctly reflects its actual use of the Software. Selecting Home, Starter, Business, or any other license type in the Software does not grant rights beyond those provided by this License or an applicable Subscription or separate written agreement.
4. Business Use
Commercial Use or Public Sector Use that does not qualify for Starter Use requires an active Subscription.
The Licensee may authorize only the number of Authorized Users permitted by its Subscription.
The number of Authorized Users is calculated across all Software installations operated by or on behalf of the Licensee and any other entities covered by the applicable Subscription.
Unless the Subscription provides otherwise, Affiliates are not automatically covered by a Business Subscription.
Business Use requires a valid license key or other activation credential issued or approved by the Licensor.
The Licensee must not share, sell, publish, transfer, or otherwise make a license key or activation credential available to an unauthorized third party.
5. Multiple Installations
Subject to the applicable usage category and Subscription terms, the Licensee may operate multiple installations of the Software, including development, testing, staging, backup, and production installations.
An Authorized User is counted only once even if that person accesses multiple installations.
The right to operate multiple installations does not increase the number of Authorized Users permitted under this License or an applicable Subscription.
6. Right to Modify
Subject to this License, the Licensee may inspect, copy, and modify the source code of the Software for its own permitted use.
Modifications may be stored in private source-code repositories, private registries, internal build systems, backup systems, and other systems that are not made available to the general public.
The Licensee may permit its employees, contractors, and consultants to create or work with such modifications solely on behalf of the Licensee and subject to this License.
Modifying the Software does not remove or reduce any obligation under this License.
In particular, the Licensee must not modify the Software for the purpose of bypassing or avoiding licensing requirements that would otherwise apply to its use.
7. No Public Redistribution
Except as expressly permitted by this License, the Licensee may not:
a. publicly distribute the Software or a modified version of the Software;
b. republish the Software or a modified version as another software package, product, distribution, repository, or downloadable application;
c. sell, sublicense, rent, lease, transfer, or commercially distribute copies of the Software;
d. make a modified or unmodified version of the Software publicly available as a competing distribution;
e. remove or materially obscure copyright notices, license notices, or attribution notices included with the Software.
Private copies reasonably required for permitted use, development, testing, deployment, backup, or disaster recovery are allowed.
Nothing in this License is intended to restrict technical repository viewing or forking rights that a source-code hosting platform independently grants to its users under that platform’s applicable terms.
Any such platform-granted right does not grant additional rights under this License to publish releases, republish packages, operate a competing distribution, sell or sublicense the Software, provide the Software as a hosted service, or otherwise redistribute or exploit the Software beyond the rights expressly granted by this License.
A fork may be used to prepare and submit a Contribution to the Licensor. Submission of Contributions is additionally governed by the Contributor Terms in CONTRIBUTING.md.
8. Consultants and Service Providers
A consultant, contractor, integrator, or service provider may install, configure, maintain, customize, or modify the Software on behalf of a Licensee.
The Licensee for whom the work is performed must itself have the rights required for the applicable use of the Software.
A service provider may not use a single installation of the Software to provide AilaFlow itself as a shared hosted or managed service to multiple customers unless separately authorized in writing by the Licensor.
9. Internal Use in Products and Services
A Licensee may use the Software as internal technical infrastructure in connection with its own products or services, provided that third parties are not given access to the Software itself as a product, platform, workspace, workflow system, editor, or managed service.
Third parties may interact with outputs, interfaces, forms, APIs, or business processes produced or operated by the Licensee using the Software, provided that such use does not amount to offering the Software itself to those third parties.
10. OEM, Embedding, White-Label and Hosted Services
Unless separately authorized in writing by the Licensor, this License does not permit the Licensee to:
a. offer the Software itself as a hosted or managed service to third parties;
b. provide third parties with their own AilaFlow installations, workspaces, or equivalent access as part of a commercial service;
c. embed or white-label the Software, its administration interface, workflow-building interface, or other material product functionality in a product offered to third parties;
d. resell or sublicense access to the Software;
e. distribute the Software as part of another commercial software product;
f. offer an AilaFlow-based service whose primary purpose is to provide third parties with access to AilaFlow’s own workflow, automation, collaboration, administration, or related platform functionality.
Such use requires a separate OEM, embedding, service-provider, enterprise, or other commercial agreement with the Licensor.
11. License Verification and Installation Statistics
As a condition of the rights granted under this License, every installation of the Software is required to periodically, including approximately once per day, communicate with systems operated by or on behalf of the Licensor for license verification and installation-statistics purposes.
Such communication may include:
a. a pseudonymous identifier assigned to the Software installation;
b. the selected license type; and
c. the applicable license key, if a license key has been issued or configured for that installation.
The Licensee must not intentionally disable, block, bypass, falsify, or materially interfere with this required communication.
For this purpose, the Software does not transmit workflow contents, scripts, forms, table contents, credentials, secrets, user names, user email addresses, customer data, or other User Content.
Additional information about processing of data may be provided in the Licensor’s applicable privacy policy.
12. Expiration or Cancellation of a Business Subscription
When a Subscription expires, is cancelled, or otherwise ceases to be active, the Licensee may continue using the Software for up to fourteen (14) calendar days solely as reasonably necessary to:
a. renew or replace the applicable Subscription;
b. reduce its use so that it qualifies for Starter Use or Home Use;
c. export or migrate its data and User Content;
d. transition to another system; and
e. discontinue use of the Software.
If, after those fourteen (14) calendar days, the Licensee does not qualify for Home Use or Starter Use and does not have an active Subscription or another applicable written agreement, the Licensee must cease using the Software and remove copies of the Software that are no longer required for legal, compliance, archival, or backup purposes.
The expiration or cancellation of a Subscription does not transfer ownership of User Content to the Licensor.
The cure period in Section 16 does not extend the fourteen (14) calendar day transition period in this Section or create any additional right to continue Business Use after that transition period ends.
13. User Content
“User Content” includes workflows, processes, scripts, forms, configurations, records, tables, files, data, prompts, business logic, and other content created, uploaded, entered, or configured by or for the Licensee using the Software.
The Licensor claims no ownership of User Content merely because it is created, processed, stored, or used with the Software.
Except where separately agreed, all rights in User Content remain with the Licensee or the applicable owner of that User Content.
This License applies to the Software and does not automatically cause User Content or independent software interacting with AilaFlow through an API or integration interface to become subject to this License.
14. Contributions
The Licensor may accept contributions to the Software, including source code, documentation, fixes, improvements, and other materials (“Contributions”).
Contributions are subject to the Contributor Terms published in CONTRIBUTING.md.
A person submitting a Contribution must expressly accept the applicable Contributor Terms before the Contribution may be accepted or merged.
Unless separately agreed in writing, submitting a Contribution does not grant the contributor rights to use the Software beyond those granted under this License.
15. License Enforcement and Circumvention
The Licensee may not intentionally bypass, disable, block, tamper with, circumvent, falsify, or materially interfere with license verification, required installation-statistics communication under Section 11, Authorized User restrictions, activation requirements, or other mechanisms used to implement the licensing requirements of the Software.
The right to modify the Software under Section 6 does not include a right to use modifications to obtain rights or usage capacity that would otherwise require a paid Subscription or separate agreement.
16. Termination and Cure
If the Licensee materially violates this License, the Licensor may provide notice describing the violation.
Except for a serious or intentional violation described below, the Licensee will have thirty (30) calendar days after receiving notice to cure the violation.
If the violation is cured within that period, the License may continue.
If the violation is not cured within that period, the Licensor may terminate the rights granted under this License.
The Licensor may terminate the rights granted under this License immediately in the event of an intentional or material violation involving:
a. deliberate circumvention of licensing or activation requirements;
b. unauthorized resale or sublicensing of the Software;
c. unauthorized public redistribution of the Software;
d. unauthorized white-label, OEM, embedding, or hosted-service use; or
e. deliberate falsification of license status or Authorized User limits.
Termination does not limit any other rights or remedies available under applicable law.
17. Trademarks
This License does not grant any rights in the names, trademarks, service marks, logos, trade names, domain names, branding, or other brand assets of the Licensor, including “AilaFlow” and “N4NO”.
Use of the Software does not imply sponsorship, endorsement, certification, or official affiliation with the Licensor.
Nothing in this Section prevents nominative or descriptive use permitted by applicable law, such as accurately stating that a product or integration is compatible with AilaFlow.
18. Patents
Subject to this License, the Licensor grants the Licensee a worldwide, royalty-free, non-exclusive patent license under patent claims owned or controlled by the Licensor that are necessarily infringed by the Licensee’s permitted use of the Software as distributed by the Licensor.
This patent license applies only to use permitted under this License.
The patent license granted under this Section terminates if the Licensee or one of its Affiliates initiates a patent infringement claim alleging that the Software, or a material part of it, infringes a patent owned or controlled by the Licensee or that Affiliate.
19. Third-Party Components
The Software may contain, include, depend upon, or interact with third-party software, libraries, packages, components, assets, services, or other materials.
Third-party components remain subject to their own applicable licenses and terms.
Nothing in this License changes, overrides, restricts, or expands rights granted under the applicable license of a third-party component.
Where required, applicable third-party copyright notices and license notices must be preserved.
20. Future Versions of this License
The Licensor may publish revised or replacement versions of this License.
A new version of this License may apply to future releases of the Software.
Unless otherwise agreed, a version of the Software that was distributed under a particular version of this License remains subject to that version of the License.
Nothing in this Section requires the Licensor to distribute future versions of the Software under the same terms.
Commercial pricing, Subscription plans, Authorized User allowances for paid plans, and other commercial terms may change independently from this License in accordance with the applicable Subscription or commercial terms.
21. Disclaimer of Warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
THE LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, RELIABILITY, SECURITY, AVAILABILITY, ACCURACY, AND ERROR-FREE OPERATION.
THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET THE LICENSEE’S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE FREE FROM DEFECTS OR SECURITY VULNERABILITIES, OR THAT ANY DEFECT WILL BE CORRECTED.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR, ITS CONTRIBUTORS, AFFILIATES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY CLAIM, LOSS, DAMAGE, COST, OR OTHER LIABILITY ARISING FROM OR RELATING TO THE SOFTWARE OR ITS USE.
THIS INCLUDES, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, SECURITY INCIDENTS, OR COSTS OF SUBSTITUTE SERVICES.
THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.
Nothing in this License excludes or limits liability to the extent that such exclusion or limitation is prohibited by applicable law.
23. Governing Law
This License is governed by the laws of the Republic of Poland, without regard to conflict-of-law principles.
Any dispute arising out of or relating to this License will be subject to the jurisdiction of the competent courts of the Republic of Poland, except where mandatory applicable law provides otherwise.
Nothing in this License limits any mandatory rights that cannot lawfully be excluded or restricted.
24. Severability
If any provision of this License is held to be invalid, illegal, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where permitted by law.
The remaining provisions will remain in effect.
25. Separate Commercial Agreements
The Licensor and a Licensee may enter into a separate written agreement governing use of the Software.
If a separate written agreement expressly conflicts with this License, the separate written agreement controls to the extent of that conflict.
This includes OEM, embedding, enterprise, reseller, service-provider, support, and other individually negotiated commercial agreements.
26. Summary of Usage Categories
This Section is provided for convenience. If it conflicts with another provision of this License, the other provision controls.
